Who are we?

The Group's five business clusters (Sanlam Fintech, Sanlam Life and Savings, Sanlam Investment Group, Sanlam Allianz and Santam) house the Group's business operations. The Group Office provides strategic direction and support to the five clusters, assisting them in realising their strategies and meeting their business objectives. The Group Office is responsible for governance and for the Group's centralised functions, which include: Finance, Actuarial, Risk and Balance Sheet Management, Strategy, Human Capital, Corporate Affairs and Sustainability.

 

What will you do?

The Company Secretary will play a critical governance, advisor, and compliance role within Sanlam, with a specific focus on supporting and overseeing the Sanlam Fintech cluster. This role ensures statutory and regulatory compliance, effective board and committee operations, and strong corporate governance across the Fintech entities within the group structure.

What will make you successful in this role?

Corporate Governance and Board Support

  • Organise and administer board and committee meetings for Sanlam Financial Markets and related subsidiaries.
  • Prepare board packs, agendas, and accurate minutes in accordance with agreed timelines.
  • Advise the board and executives on governance best practices and evolving regulatory frameworks.

 

Statutory and Regulatory Compliance 

  • Maintain up-to-date statutory records, including CIPC filings, share registers, and director disclosures.
  • Liaise with Regulators regarding licensing, reporting and compliance issues.
  • Work closely with legal and compliance teams to monitor regulatory developments in the Sanlam Financial Markets and digital finance landscape.
  • Provide support during internal and external audit and regulatory reviews (where applicable).

 

Strategic and Operational Support

  • Help embed governance into the operational culture of the Sanlam Financial Markets business units.
  • Provide support to the Deputy Group Company Secretary
  • Assist with the Statutory Duties of being a Public Officer

Qualification and Experience

Qualifications

  • Chartered Accountant or Admitted Attorney LLB, BCom graduate with articles or Chartered Secretaries (CIS) qualification.
  • Other equivalent legal or financial qualifications would be advantageous.

 

Experience

  • At least 5 years proven company secretarial experience.
  • Previous experience of working in a corporate environment will be to your advantage, especially listed company exposure.
  • Exposure to environment with sensitive/confidential information.
  • Business etiquette on an executive level.
  • Understanding of King IV compliance.
  • Excellent drafting capability.
  • Experience in Microsoft Office Packages (e.g. General - Excel; PowerPoint; Word) and Board pack software applications.

 

Compentencies

  • Knowledge of the Sanlam Group structure will be to your advantage.
  • Knowledge of the latest applicable laws and regulatory requirements (e.g. Companies Act 2008, JSE Listing Requirements amended, Financial Markets Act, Insurance Act, the Governance and Operational Standards for Insurance Groups (GOGs) and Insurers (GOIs).
  • Knowledge of long-term insurance or other Financial Services Company experience will be to your advantage
