Sanlam Alternative Investments (SAI)
The purpose Sanlam Alternative Investments (SAI) business is to help build the African continent and make a real sustainable difference in the emerging economies in which we operate in, aligning to the Sanlam Group’s mission of financial inclusion. The SAI business has a broad range of capabilities that include Private Equity, Specialised Finance, Property, Infrastructure and Partnerships. Sanlam is the biggest non-banking financial institution on the continent, operating in Africa for over 100 years.
What will you do?
Assess credit investment opportunities in public and private international markets (US, UK, Western Europe) for SAI. Manage and optimise the credit assets you are responsible for, identify new credit opportunities, and manage relationships with bank syndicate teams, treasurers, asset managers and sponsors of borrowers. Responsible for originating and securing moderately complex investment transactions related to leveraged finance, buy-outs and/or projects. Focus areas include leverage finance and balance sheet structuring. Investments may be made directly or via credit funds. Negotiates deals with third parties, including international fund managers and present investment proposals to the investment committee. Manages client relationships and requires extensive product knowledge and technical expertise in the execution of the credit and credit related transactions.
What will make you successful in this role?
1. Deal making (i.e., origination of credit investments), including:
• Manage existing borrower relationships, identify new opportunities and participate in refinancing or upsizing of existing facilities.
• Development and building of new client relationships in order to originate new transactions.
• Preparation of in-principle credit applications and credit updates to the credit department and attendance at credit meetings to support transactions.
• Negotiating terms and conditions of transactions with clients, external fund managers and syndication teams.
• Preparation of term sheets that form the basis of legal agreements to be drafted.
• Preparation of deal committee applications for new products which entail, amongst others, a description of the mechanics of the product and the relevant legislative implications requiring sign-off by taxation, legal, regulatory, accounting, etc. Such applications set out the credit risk, funding/liquidity risk, interest rate risk, currency risk, regulatory risk, operational risk, documentation risk and reputational risk in the product and how these risks are mitigated and/or managed.
• Financial modelling of transactions and preparing cashflows.
• Liaising with various internal departments (legal, credit, treasury, regulatory, exchange control, etc) as well as with external advisors (lawyers, accountants, tax advocates, etc) as is necessary to implement transactions.
• Interacting with other financial institutions in implementing syndicate or club type transactions.
• Interacting with global credit fund managers as well as credit advisors.
• Commenting on various legal agreements entered into to give effect to transactions.
• Management of deals and investments through the full life cycle of the transaction.
• Review and signoff of risk reports and profit and loss reports.
• Preparation of Return on Risk Adjusted Capital (RORACs) and Return on Group Equity Value (ROGEVs), various internal reporting documents such as portfolio composition, periodic credit spread reviews, daily pricing emails, new deals report, ROGEV reports, bond portfolio graphs, etc.
2. Group interaction and functions:
• Ongoing interaction within SAI, Sanlam Financial Markets (SFM) and support functions.
• Ongoing interaction with Sanlam, Sanlam Investments (SI) and other clusters.
• To be a centre of expertise on Credit for the Sanlam Group.
3. Structuring:
• Consideration of market risk, tax, regulatory, legal and accounting related matters, etc including interaction with experts.
• Consider credit derivative products that are appropriate for SAI.
